The Services are informational and descriptive only and are not investment advice. The information on the Services is not intended for distribution to, or use by, any person in any jurisdiction where such use would be contrary to law or would subject us to any registration requirement. Those who access the Services from other locations do so on their own initiative and are responsible for compliance with local law.


2. INTELLECTUAL PROPERTY RIGHTS

Our intellectual property

We are the owner or the licensee of all intellectual property rights in our Services, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics in the Services (collectively, the "Content"), as well as the trademarks, service marks, and logos contained therein (the "Marks").

You grant us a limited, non-exclusive, worldwide, royalty-free license to host, process, copy, transmit, display, format, and otherwise use Customer Content only as necessary to provide, secure, maintain, support, and improve the Services for you, to comply with law, to enforce these Legal Terms, and to prevent fraud, abuse, or security incidents. We may make Customer Content available to our service providers only as described in the Privacy Policy.

We do not sell Customer Content. We do not use Customer Content for advertising. We do not use Customer Content to train or improve our own or any third party's AI models.

Feedback: If you send us comments, suggestions, ideas, or other feedback about the Services, you grant us a non-exclusive, perpetual, irrevocable, worldwide, royalty-free license to use that feedback to improve and promote the Services without restriction or compensation to you. Feedback does not include Customer Content.

Your responsibility: You are responsible for Customer Content and feedback you submit through the Services. You represent and warrant that you have all rights, consents, and permissions necessary to submit and process Customer Content through the Services. You must not submit Customer Content or feedback that is illegal, harmful, defamatory, infringing, misleading, market-manipulative, or otherwise violates these Legal Terms.

Moderation and access restrictions: We may remove, restrict, or disable access to Customer Content or feedback if we reasonably believe it violates these Legal Terms, infringes third-party rights, creates security or legal risk, or is otherwise required by law. We may also suspend or disable the related account where appropriate.


3. USER REPRESENTATIONS

By using the Services, you represent and warrant that: (1) all registration information you submit will be true, accurate, current, and complete; (2) you will maintain the accuracy of such information and promptly update such registration information as necessary; (3) you have the legal capacity and you agree to comply with these Legal Terms; (4) you are not a minor in the jurisdiction in which you reside; (5) you will not access the Services through automated or non-human means, whether through a bot, script, or otherwise, except where we expressly permit it; (6) you will not use the Services for any illegal or unauthorized purpose; (7) your use of the Services will not violate any applicable law or regulation; and (8) you have all rights, consents, and permissions necessary for any content you submit.

4. USER REGISTRATION

5. PURCHASES AND PAYMENT

Payments are processed by our third-party payment processor (Stripe), and by purchasing you also agree to the processor's terms. You agree to provide current, complete, and accurate purchase and account information. All amounts are in the currency shown at checkout and you are responsible for applicable taxes. Credits and paid features are licensed, not sold, and are governed by these Terms and the plan description at checkout. Refunds, where offered, are governed by the refund policy in effect at the time of purchase and by applicable mandatory consumer law.


6. SUBSCRIPTIONS

Billing and renewal

If you buy a recurring subscription, your subscription will continue and automatically renew unless canceled. You consent to our charging your payment method on a recurring basis without requiring your prior approval for each recurring charge until you cancel the applicable order. The length of your billing cycle will depend on the subscription plan shown at checkout.

Cancellation

You can cancel your subscription through the account or billing settings made available in the Services, or by contacting us using the contact details below. Unless otherwise stated at checkout or required by mandatory law, cancellation takes effect at the end of the current paid term and you keep access until then.

Consumer withdrawal rights

If you are a consumer habitually resident in the EU/EEA or another jurisdiction with mandatory digital-service withdrawal rights, you may have statutory rights to withdraw from a purchase.   • Use scripts, bots, crawlers, scrapers, data-mining tools, or similar automated methods to access the Services except where expressly permitted by us in writing.
  • Delete copyright or other proprietary rights notices from any Content.
  • Attempt to impersonate another user or person or use the username of another user.

8. CUSTOMER CONTENT RESPONSIBILITIES

You are responsible for the investment thesis text and other Customer Content you submit, generate, send, or store through the Services. You represent and warrant that:

  • you have the necessary rights, consents, permissions, and legal basis to submit and process Customer Content through the Services;
  • Customer Content does not infringe any intellectual property, privacy, publicity, confidentiality, trade secret, or other third-party right;
  • Customer Content is not illegal, false, misleading, defamatory, abusive, harassing, discriminatory, sexually explicit, exploitative, market-manipulative, or otherwise harmful;
  • Customer Content does not contain malware, unauthorized tracking, or material intended to compromise the Services or any third-party system; and
  • you will not use the Services to process or disclose personal data unless you have obtained all consents and notices required by applicable law.

Any use of the Services in violation of the foregoing violates these Legal Terms and may result in termination or suspension of your rights to use the Services.


9. CUSTOMER CONTENT LICENSE

You retain ownership of Customer Content. You grant ThesisCheck a limited, non-exclusive, worldwide, royalty-free license to host, process, copy, transmit, display, format, modify for technical or formatting purposes, and otherwise use Customer Content only as reasonably necessary to provide, secure, maintain, support, and improve the Services for you, comply with law, enforce these Legal Terms, and prevent fraud, abuse, or security incidents.

This license includes allowing our service providers to process Customer Content where necessary to provide the Services, subject to the Privacy Policy. It also includes the technical steps needed to retrieve public sources, run AI generation workflows you request, create brief previews and exports, preserve source and audit evidence, and provide support.

We do not sell Customer Content, use it for advertising, or use it to train or improve our own or any third party's AI models.


10. THIRD-PARTY WEBSITES AND CONTENT

The Services may contain links to other websites ("Third-Party Websites") as well as articles, text, graphics, information, applications, software, and other content or items belonging to or originating from third parties ("Third-Party Content"). Such Third-Party Websites and Third-Party Content are not investigated, monitored, or checked for accuracy, appropriateness, or completeness by us, and we are not responsible for any Third-Party Websites accessed through the Services or any Third-Party Content available through the Services, including the content, accuracy, opinions, reliability, privacy practices, or other policies of or contained in them. Inclusion of, linking to, or permitting the use of Third-Party Websites or Third-Party Content does not imply approval or endorsement by us. If you decide to leave the Services and access Third-Party Websites or Third-Party Content, you do so at your own risk. We reserve the right, but not the obligation, to: (1) monitor the Services for violations of these Legal Terms; (2) take appropriate legal action against anyone who violates the law or these Legal Terms, including reporting such user to law enforcement authorities; (3) refuse, restrict access to, limit the availability of, or disable Customer Content, feedback, files, or account features where reasonably necessary to protect the Services, comply with law, address security or abuse risk, or enforce these Legal Terms; and (4) otherwise manage the Services in a manner designed to protect our rights and property and to facilitate the proper functioning of the Services.

17. DISPUTE RESOLUTION

Informal negotiations

To expedite resolution and control the cost of any dispute, controversy, or claim related to these Legal Terms (each a "Dispute" and collectively, the "Disputes") brought by either you or us, the parties agree to first attempt to negotiate any Dispute informally for at least thirty (30) days before initiating any formal proceedings. Jurisdiction

Any Dispute that cannot be resolved through informal negotiations shall be submitted to the competent courts of Switzerland.

If you are a consumer habitually resident in the EU/EEA, you may also be entitled under mandatory law to bring proceedings in, and to be sued only in, the courts of your country of residence.

Restrictions

The parties agree that any proceeding shall be limited to the Dispute between the parties individually. To the full extent permitted by law, (a) no proceeding shall be joined with any other proceeding; (b) there is no right or authority for any Dispute to be resolved on a class-action basis or to utilize class action procedures; and (c) there is no right or authority for any Dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.

Exceptions to informal negotiations

The parties agree that the following Disputes are not subject to the above provisions concerning informal negotiations: (a) any Disputes seeking to enforce or protect, or concerning the validity of, intellectual property rights; (b) any Dispute related to, or arising from, allegations of theft, piracy, invasion of privacy, or unauthorized use; and (c) any claim for injunctive relief.

20. LIMITATION OF LIABILITY

Nothing in these Terms limits or excludes our liability where it cannot be limited or excluded under applicable mandatory law. In particular, we are liable without limitation for damage arising from injury to life, body, or health; for damage caused intentionally or by gross negligence; and to the extent of any mandatory statutory liability.

Notwithstanding the foregoing, we reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate, at your expense, with our defense of such claims. We will use reasonable efforts to notify you of any such claim, action, or proceeding which is subject to this indemnification upon becoming aware of it.

We will maintain certain data that you transmit to the Services for the purpose of managing the performance of the Services, as well as data relating to your use of the Services. Although we perform routine backups of data where appropriate, you are solely responsible for all data that you transmit or that relates to any activity you have undertaken using the Services. We may transfer our rights and obligations under these Legal Terms to a legal entity that continues the ThesisCheck business, provided that entity agrees to be bound by these Legal Terms. Where required by mandatory consumer law, we will give you notice of the transfer and you may terminate the Services if you do not agree to it. We shall not be responsible or liable for any loss, damage, delay, or failure to act caused by any cause beyond our reasonable control. If any provision or part of a provision of these Legal Terms is determined to be unlawful, void, or unenforceable, that provision or part of the provision is deemed severable from these Legal Terms and does not affect the validity and enforceability of any remaining provisions. There is no joint venture, partnership, employment, advisory, fiduciary, or agency relationship created between you and us as a result of these Legal Terms or use of the Services. You agree that these Legal Terms will not be construed against us by virtue of having drafted them. You hereby waive any defenses you may have based on the electronic form of these Legal Terms and the lack of signing by the parties hereto to execute these Legal Terms.

ThesisCheck does not provide, and nothing in the Services constitutes, investment, financial, legal, accounting, or tax advice, or a recommendation, offer, or solicitation to buy, sell, or hold any security or to pursue any strategy. ThesisCheck is not a registered investment adviser, broker-dealer, or financial planner, and your use of the Services creates no advisory or fiduciary relationship.
